CONSTITUTION AND BYLAWS 

OF THE 

LITTLE EGYPT AMATEUR RADIO SOCIETY 

(Approved and adopted by majority vote on March 12, 2003) 

CONSTITUTION FOR THE 

LITTLE EGYPT AMATEUR RADIO SOCIETY 

PREAMBLE: We, the members of Little Egypt Amateur Radio Society, hereinafter referred to as L.E.A.R.S., wishing to secure for ourselves the pleasures and benefits of the association of persons commonly interested in Amateur Radio, do enact and ratify this Constitution and Bylaws as our governing laws. It shall be our purpose to further the exchange of information and co-operation between the members, to promote radio knowledge, fraternalism and individual operating efficiency, and to so conduct club programs and activities as to advance the general interest and welfare of amateur radio in the community

ARTICLE I

MEMBERSHIP: All persons interested in amateur radio communication (radio communication between amateur stations solely with a personal aim and without pecuniary interest) shall be eligible for membership.

ARTICLE II

OFFICERS: Section I - The officers of the club shall be; President, Vice-president, Secretary, and Treasurer These Officers shall be designated as the Executive Board.

Section 2 - The nomination of officers shall be held during the regular business meeting in the month of October.

Section 2.1 - The officers of the club shall be elected for a term of one year. The election shall be by ballot of a majority of the Bill members present and voting during the regular business meeting in the month of November.

Section 3 - Office vacancies occurring between elections shall be filled by special election at the first regular business meeting following the withdrawal or resignation.

Section 4- Officers may be removed from office by a seventy five percent (75%) or greater vote of the membership.

ARTICLE III

DUTIES OF OFFICERS: Section 1 - The President shall preside at all meetings of the club and conduct the same to the rules adopted. The President shall enforce due observance of the Constitution and Bylaws, decide all questions of order; sign all official documents that are adopted by the club, and none other, and perform all other customary duties pertaining to the Office of resident. The President shall designate the Repeater Control Operator

Section 2 - The Vice-President shall assume the duties of the President, in the absence of the latter.

Section 3 - The Secretary shall keep records of the proceedings of all meetings, keep a membership roll, perform on behalf of the club all necessary club correspondence, and none other, and read communications at each meeting. He/She shall, at the expiration of his/her term, turn over all records, materials, and items belonging to the club to the successor.

Section 4 - The Treasurer shall receive and receipt all Monies paid to the club; he/she shall keep an accurate accounting report of all Monies received and expended. He/she shall pay no bills without proper authorization (by the club or its officers constituting a business committee), and none other. At the end of each quarter he/she shall submit an itemized statement of disbursements and receipts and a current roster of membership. He/she shall, at the expiration of his/her term, turn over everything in his/her possession belonging to the club to the successor.

ARTICLE IV

MEETINGS: The Bylaws shall provide for regular monthly business meetings and special meetings. Business may be transacted by a majority vote of the membership present.

ARTICLE V

DUES: The amount of dues for the ensuing year shall be set by a majority vote of the membership during the regular January business meeting. Dues shall fall due on January 1 and become delinquent after January 31. Dues shall be pro-rated quarterly new members. A member may be dropped from general membership for failure to pay the dues for more than one month following the annual due date.

AMENDMENTS: This Constitution and/or the Bylaws may be amended by a two-thirds (2/3) or greater vote of the membership. Proposals for amendments shall be submitted in writing at a regular meeting and shall be voted on at the next regular meeting, provided all members have been notified of the intent to amend the Constitution and/or Bylaws at said meeting.

ARTICLE VII

RULES: Robert’s Rules of Order shall govern proceedings of the club meetings.

BYLAWS FOR THE 

LITTLE EGYPT AMATEUR RADIO SOCIETY 

1. SECRETARY: It shall be the duty of the Secretary to keep the Constitution and Bylaws of the club and have the same with him/her at every meeting. He/she, or a Club Designee, shall cause all amendments, changes and additions to be noted thereon and she permit the same to be consulted by members upon request.

2. MEMBERSHIP: Membership is open to licensed amateurs and those having interest in advancing the activities and principle of amateur radio. Only paid and licensed members can hold office. Paid members, licensed or not, have voting privileges. The member is responsible for payment of club dues as defined in Article IV of this Constitution.

Family membership shall be made available to families with one or more licensed amateurs, subject to the above membership criteria, for an annual dues payment one and one-half (P12) times that established for a full member. Each licensed family member shall have Bill membership privileges. The definition of family, for the purpose of determining family membership eligibility, shall be limited to those persons living within the same household at the same mailing address.

3. MEETINGS: Regular monthly meetings shall be held at a pre-arranged time of each calendar month at such location as has been previously reserved for such purpose. An appropriate location which can, and will, provide a separate room or space for meetings may be contacted and reserved for the time and date of the monthly meetings. Special meetings may be called by the President upon the written request of any five (5) club members. Notices shall be sent to members concerning special meetings and the business to be transacted. Only such business as designated shall be transacted. Such notices shall be posted at least seven (7) days prior to the meeting date, except in case of an emergency.

Additional activity meetings for the benefit of the members and the advancement of the principals of amateur radio may be established at any time as recommended by any member volunteering to be an Activities Manager and being approved by simple majority of members present.

4. DUES: In accordance with the provision of Article V of the Constitution annual dues shall be $10.00 for membership privileges. All dues shall be used for current expenses as authorized by the Officers of the Club. Such current expenses may include a memorial for a member of the Club who has become a Silent Key. All capital expenditures shall require a majority vote of the full members in attendance at a regular monthly business meeting. A member’s dues may be waived for one (1) year upon a motion of any member and a majority vote.
